Please read these Terms of Service carefully before using the FotoFinish application or website. By accessing or using the Service, you agree to be bound by these terms. If you do not agree, do not use the Service. If you do not agree with these terms, or with any future update to them, your remedy is to stop using the Service and, if you are a subscriber, cancel your subscription.
You must be at least 13 years old to use the Service. By using it, you represent that you meet this requirement.

FotoFinish reserves the right to refuse service to anyone at any time. Your content may be transmitted across networks and, while payment information is always encrypted, you acknowledge this inherent nature of internet communication. You may not reproduce or resell any part of the Service without written permission.
All content, software, and technology within the Service belong to FotoFinish or are used under license. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription. You may not decompile, reverse engineer, modify, create derivative works, sublicense, or use the Service to build a competing product.
You retain ownership of content you upload. By uploading, you grant FotoFinish a limited, non-exclusive license to host and process your content solely to provide the Service, including through the automated and AI-assisted analysis described in Section 6. FotoFinish treats your content as confidential and will not share it with anyone except the service providers described in our Privacy Policy (who are bound by confidentiality and may not use your content for any purpose of their own) or with your approval. We never use your identifiable content, including photos, to train AI or machine-learning models.
The Service may include automated features, including AI-assisted analysis of photos and related submission data, such as comparing submitted photos against reference standards, drafting evaluation feedback, generating report summaries, and detecting photo-quality issues. Automated analysis operates alongside human review; FotoFinish determines the appropriate combination of automated and human review for each feature. Automated outputs may contain errors and are covered by the Disclaimer of Warranties below. Our service providers for automated processing, and the rules that bind them, are described in our Privacy Policy. We never use your identifiable content, including photos, to train AI or machine-learning models, and we do not permit our service providers to do so. Aggregated or anonymized data that does not identify you or your organization may be used to improve our services and produce industry insights, as described in our Privacy Policy. Customers may separately opt in, by written agreement, to future AI training or data-partnership programs.
Subscriptions are billed in advance on a monthly or annual basis. Applicable taxes are calculated based on your account information. Trial periods convert automatically to paid subscriptions at the end of the trial.
Prices may change at the start of your next billing period. Continued use constitutes acceptance. You may cancel before the change takes effect to avoid the new pricing.
Subscriptions renew automatically unless canceled before expiration. Enterprise clients should refer to their service contracts.
FotoFinish may provide access to third-party tools on an "as is" basis. We do not monitor or endorse these tools and accept no liability for their use.
The Service may link to third-party content. FotoFinish is not responsible for third-party materials and provides no warranties regarding them.
Feedback, ideas, or suggestions you submit may be used by FotoFinish without restriction or compensation. You are responsible for the accuracy of any content you submit.
FotoFinish may correct errors in the Service at any time without obligation to notify users, except as required by law.
The following are strictly prohibited when using the Service:
The Service is provided "as is" and "as available." FotoFinish makes no warranties about uptime, accuracy, or fitness for a particular purpose. We may suspend or discontinue the Service at any time without notice. All outputs of the Service, including automated and AI-assisted analysis, support your organization's internal accountability workflows and do not constitute professional advice. You are solely responsible for decisions made or actions taken based on the Service and its outputs.
To the maximum extent permitted by applicable law: (a) Modern Cleaning Concept LP and its directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, and licensors are not liable for any indirect, incidental, special, punitive, or consequential damages of any kind (including lost profits, lost revenue, lost savings, lost data, replacement costs, or business interruption) arising from or related to your use of, or inability to use, the Service, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages; (b) FotoFinish's total aggregate liability for all claims arising from or related to the Service is limited to the amounts you paid for the Service in the three months immediately preceding the event giving rise to the claim; and (c) your sole and exclusive remedy for any dissatisfaction with the Service or disagreement with these terms is to stop using the Service and cancel your subscription. Some jurisdictions do not allow certain exclusions or limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify and defend FotoFinish against any claims arising from your breach of these terms or your use of the Service.
Either party may terminate these terms at any time. FotoFinish may terminate immediately for non-compliance. Obligations incurred before termination survive.
Disputes should first be resolved through informal negotiation by contacting legal@fotofinish.com. If unresolved, the parties agree to mediation and, if needed, binding arbitration in Quebec under Quebec and Canadian law. Disputes are resolved individually, not as class actions.
We reserve the right to update these terms. Continued use after changes constitutes acceptance. If we make material changes, we will also notify account administrators by email. If you do not agree with an update, stop using the Service and cancel your subscription.
If any provision of these terms is found unenforceable, the remaining provisions remain in full effect. These terms, together with our Privacy Policy, are the entire agreement between you and FotoFinish regarding the Service and supersede all prior versions, including any earlier terms displayed in the app. Enterprise clients with a signed service contract: your contract prevails where it conflicts with these terms.
